My dad has offered to give me this car, and 5k or help me buy a new car..Would this car be worth trying to modify, and add on to..
The car has 120k miles origonal everything.. no existing problems and very well maintained so it is in very good condition

I'd keep it, take that $5K, and mod it.

I second that...but another alternative is to take the car and the 5k...sale the car and put it togther and find a nice e46 for 5-8k...jus a thought
